Terms
Conditions for the execution of assignments to
perform
or correct translations by Blade Translation Services:
- The "Client" is understood to be the person or organisation
requesting the performing of a translation. The "Agency" is understood to be Blade
Translation Services.
- The Client is required to check whether the Agency has fulfilled
the Agreement directly after delivery of the translated material. Should
the Client find the translation unacceptable due to inadequacies in the
presentation or the text, the Client must inform the Agency of this in
writing within 7 working days of receipt of the translated material and
allow the Agency reasonable time to effect the necessary changes.
- Should the Client change the original text during the translation
process, this will be considered a new assignment and the delivery time will
be adjusted accordingly unless otherwise agreed.
- The Client has the right to withdraw the assignment from the Agency, but
they must then accept and pay for any already completed parts of the
translation and to compensate any costs incurred by the Agency in the
execution of that assignment.
- The translation and the copyright thereof become the property of the
Client only once they have settled the invoice in full.
- The Agency is not responsible for any consequential losses (e.g. loss of
trade or profits due to delays or otherwise) incurred by the Client as a
result of late delivery of or any errors in the translation for any reason
and relating to any person, unless the Agency can reasonably be construed to
be responsible under the circumstances. In such an event the liability of
the Agency is limited to the amount that they would charge the client for
the applicable assignment.
- The Agency is not responsible for any injuries suffered by any person
and for any reason, unless the Agency can reasonably be construed to be
responsible under the circumstances. In such an event section 6 does not
apply and the liability of the Agency is limited to an amount that can
reasonably be construed to be proportional to the agreed price for the
applicable assignment.
- The Agency is never responsible for any damages resulting from the
loss, destruction or damage of any manuscripts, documents, papers, books,
software, etc. entrusted to us. Transmission of said items is strictly at
the Client's own risk. The Agency will assume that the documents or software
received from the Client for translation are copies of originals held by the
Client unless otherwise stated.
- The Agency shall treat any and all documents or software entrusted
to it as strictly confidential.
- The Agency shall in no event attempt to use any knowledge gained
from the performance of the translations for the benefit of itself or third
parties.
- The Client shall indemnify the Agency against any claims for damages
made by third parties.
- All agreements are subject to Dutch law.
